According to Amazon, those 4,000 movie titles and 17,000 TV episodes are worth approximately $3.4 billion.
Here’s what the tech giant values from MGM’s library of movies and TV shows, according to a footnote to the company’s quarterly report filed with the SEC Friday morning.
10-Q is actually the first bond offering to discuss Amazon’s acquisition of MGM in detail, having previously declined to do so, saying buying a flagship studio was “not material” to its business.
In fact, the file reveals some new details about the purchase, which was first announced last May and closed in March.
While Amazon brought in a massive library of MGM content to justify the $8.5 billion deal, most of the company’s value is in Goodwill, valued at $4.9 billion, according to the statement. Goodwill is the financial term for intangible assets acquired as a result of the acquisition. In that case, we can safely assume that MGM’s strong intellectual property, as well as its 100-year-old brand and existing relationship with creative talent, account for this assessment.
And new details about the structure of the deal, details of which were not available when it was first announced a year ago, were revealed in the file. Amazon paid MGM $6.1 billion in cash and also borrowed $2.5 billion, which was repaid after the acquisition closed.
The company also cautions that its MGM Library and IP valuations may be adjusted in the future: “Due to the limited time following the MGM acquisition, the valuation of certain assets and liabilities is preliminary and may change.”
Indeed, ownership of Amazon MGM is already being felt. While the long-term strategy is fraught with unanswered questions, this week Michael de Luca, president of MGM Cinematography, and his deputy CEO, Pam Abdi, president of the MGM Film Group, announced they were leaving the company.
Amazon has shown that shopping is frustratingly profitable, saying it will “create even more opportunities to deliver quality stories to consumers.”
