Globo signs agreement for the acquisition of Eletromidia

Eletromidia reported on Monday that Grupo Globo has reached an agreement to buy a stake in the company that broadcasts media through electronic panels, according to material fact.

The agreement provides for the sale by the Vesuvius LBO fund, which holds 55.32% of Eletromidia according to B3 data, and by the shareholder Alexandre Guerrero Martins, 12 million shares, equal to 8.57% of the capital of the society. The value of the transaction has not been disclosed.

The condition of the transaction is “the acquisition by the purchaser of at least 8,997,563 shares of the company through stock market transactions” up to 30 days after the signing of the contract and the approval of the transaction by the Board of Directors of the economic defense (Where).

The agreement also provides for the establishment of a new shareholder term under which the Globo group will be able to appoint a member of the board of directors, “provided he holds a minimum stake in the company of between 15% and 18% of its share capital and protection rights of minorities”.
