Brazil reaches 21 million active CNPJs

In the first quarter 2023, 1,331,940 businesses were opened across Brazil, according to data from Company mapprepared by the MDIC (Ministry of Development, Industry, Trade and Services) together with Serpro (Federal Data Processing Service).




Between the months of January and April, Brazil reached the threshold of 21 million CNPJ (Cadastro Nacional da Pessoa Jurídica) active throughout the country, according to the Map. In this period, among the companies that have opened their doors, whether physical or digital, 93.7% are micro or small businesses. On average, the time spent open between the first and fourth months of this year was 1 day and six hours.

For Heitor Carvalho, partner and commercial director of ContaJá Accounting online, an accounting solutions startup using technology and process optimization, the results are positive. He points out that, in the two most critical years of the Covid-19 pandemic, there have been complete transformations in the way Brazilians consume, which have also had an impact on public systems. “During the health crisis, everyone had to go online, adapt. trade commissionswhich is one of the bodies responsible for opening the business, has adapted the whole process to digital operation”.

Carvalho explains that, before the pandemic, to open a company you had to sign the documentation yourself. Often it was necessary to walk 100 km to the city to bring the documentation. Today, however, most agencies accept digital signatures.

“With this, we have also brought forward the deadlines. In Contajá we managed, at our fiscal address, to open a CNPJ within 72 hours. A goal for everyone, after all, opening a company is only the beginning of the journey as an entrepreneur”, reports. “With the end of the pandemic, we also see these processes already embarking on an even greater course of evolution, bringing more ease and agility to the entrepreneur,” he says.

Starting a business requires an analysis of the market and target audience

Bruna Sthefani da Silva, head of the legalization sector of Contajá, says that to start the process of opening a company it is necessary to analyze in depth the market and the reference target to be reached.

“Good planning is required. Some points must be observed and predefined to start the process, such as: company name, legal type (legal nature), activity to be developed, place of registration of the company and value of the capital to be invested, among others” Silva explains.

Once this essential information has been adapted, the process will have to be assembled and brought to registration with the competent bodies responsible for registering the process, which will depend on the corporate type of the company.

“The corporate types of companies are also known as legal nature. Basically, they define whether you will be self-starting, whether you will have partners, and which bodies will be responsible for registration,” he clarifies.

ME – MEI (Individual Micro-entrepreneur) is the individual entrepreneur with annual gross income of up to R$ 81,000.00 in the year or R$ 6,750.00, on average, per month of activity for the first year of activity, opting for Simples Nacional and SIMEI (system of collection of simple national taxes in fixed monthly values).

HEY – EI (Individual Company) has no shareholders. Whoever has this type of company is not classified as a shareholder, but as the sole owner. For this reason, the registration name must be the same as its owner. Furthermore, the entrepreneur of an EI cannot separate his personal assets from the company, which means that his PF (individual) assets can be withdrawn in case of commercial debts.

ULS – SLU (Limited Liability Company with Single Shareholder) is part of the group of Limited Liability Companies. In this case, there are no partners. One of its features is to protect the entrepreneur’s personal assets, but there is no need for partners or a high investment for the share capital. In other words, SLU is a practical option for those planning to go it alone.

LTDA – The LTDA (Limited Business Company) is the most widespread type of company and adopted by the majority of entrepreneurs who have shareholders. This is due to two reasons: the fact that it can include other shareholders through a Statute and that all liability is limited to the share capital of the company (hence the origin of the name “Limitada”, or “Ltda.”), which is, The personal assets of the partners are not withdrawn in the event of a corporate debt.

Simple company – Sociedade Simples is the type of company recommended for carrying out intellectual activities, such as doctors, dentists, lawyers, architects, accountants, etc. whose purpose is the same as your business.

“Each type of business obeys a set of requirements and rules, each with its own set of rules to follow. It’s important to decide which one applies to what you want, in order to be the most beneficial for your business,” he concludes.
